Bylaws of the Langub Alumni Association

ARTICLE I – ORGANIZATION

The name of the Association shall be the Langub Alumni Association, hereinafter referred to as the “Association”.  The Association is non-partisan, and non-profit organization.

ARTICLE II – MISSION AND GOALS

The Association’s mission is to create perpetual relationships between the school and its alumni, provide networking opportunities among members, and promote commitment to support the general welfare of the Langub Alma Mater.

The goals of the Alumni Association shall be to:

  • To develop a comprehensive database of all alumni of the school.
  • To assist with the planning and organization of reunions and homecomings.
  • To recognize deserving graduating students demonstrating personal achievements and academic excellence.
  • To award scholarships to qualified or deserving students of the school.
  • To raise funds on projects for the immediate and long term academic, cultural, and physical needs of the school.
  • To render aid and cooperation to the school in order to facilitate academic and extracurricular programs and other student activities.
  • To promote an online network for career job placement and internships for members of the alumni.
  • To oversee the creation and governance of different alumni chapters when applicable.

ARTICLE III – MEMBERSHIP

Section 1: Membership of the Association shall be comprised of:

a.) Regular Members

                    Regular members of the Alumni Association are the past students and past faculty at Langub Primary School or Langub Elementary School.

b.) Active Members

                    Active Members are those who volunteer or contribute to the activities and programs of the Association. Active Alumni Members shall be eligible to vote in elections of the Association, serve on committees, and hold office in the Association.   

c.) Honorary Members

                    Honorary Members are those who have made significant contributions to the school or the Association but did not attend the school. Honorary Members shall have no right to vote, to hold office in, or to serve as chair in the Committees of the Association. The Executive Committee may establish policies for issuing special or honorary membership in the Association.

Section 2. Dues. No mandatory dues. Active members support and sustain the operations of the Association through their time, generosity, and voluntary contributions.

ARTICLE IV – GOVERNANCE

Section 1. Alumni Council. The governing body of the Association shall be the Alumni Council also referred to as Alumni Steering Committee. The Council is responsible for developing and promoting new programs for alumni to connect with each other and with the school.

The Council shall be comprised of the following different strategic positions needed to run the Association:

  • The Alumni Association Officers: President, Vice President, Secretary, Assistant Secretary, and Treasurer, Events Director
  • Education and Career Development Committee Chair
  • Chief Sustainability Officer
  • Communications and Technology Officer
  • Finance Committee Chair
  • Alumni Engagement Committee Chair
  • Records Committee Chair
  • Scholarship Committee Chair
  • Awards Committee Chair
  • Community Relations Officer
  • Legal Adviser
  • Projects Committee Chair
  • Health and Wellness Committee Chair
  • Logistics Committee Chair
  • Safety Committee Chair
  • 1 School Representative
  • 5 Appointed Chapter/Batch Representatives

Section 2. Executive Committee. The Alumni Council is guided by the Executive Committee who is primarily responsible for the success of the Council Committees and ensure the Association Bylaws are adhered to.  The Executive Committee is empowered to make operational decisions it deems in the best interest of the Association.

The Executive Committee shall be comprised of the following key positions:

  • President
  • Vice President
  • Secretary
  • Treasurer
  • Events Director
  • Education and Career Development Committee Chair
  • The Chief Sustainability Officer
  • Communications and Technology Officer
  • Finance Committee Chair
  • Alumni Engagement Committee Chair
  • Scholarship Committee Chair
  • Awards Committee Chair
  • Community Relations Officer
  • Legal Adviser
  • 1 School Representative
  • 5 Chapter/Batch Representatives

Section 3. Officers. The Officers of the Association shall be a President, Vice President, Secretary, Assistant Secretary, Treasurer, and Events Director. The officers shall carry the day-to-day operations of the Association.

Section 4. Duties and Responsibilities. The Officers and Council Officials shall perform the duties prescribed herein:

  • President
    • Shall be the chief executive office of the Association.
    • Shall preside over all meetings of the members, the Alumni Council, and the Executive Committee.
    • Shall call meetings of the executive committee when deemed necessary.
    • Represent the Association in official events and activities.
  • Vice-President
    • Shall perform the duties of the president during the president’s absence or inability to act.
    • Shall assist the president whenever called upon to do so
    • Shall perform such other duties as may be delegated by the Executive Committee.
  • Secretary
    • Shall keep a record of the proceedings of all meetings of the Association, the steering committee, and the executive committee.
    • Shall prepares agenda of meetings, and ensure records and documents are in place during the meeting.
    • Take minutes of the meeting and circulates it to the appropriate group for review and approval.
  • Assistant Secretary
    • shall cover the duties of the Secretary during the secretary’s absence or inability to act.
  • Treasurer
    • Shall have custody of all funds.
    • Shall keep in books belonging to the Association, full and accurate accounts of all receipts and disbursements.
    • Shall render an accounting of them whenever required by the Alumni Council.
    • Shall keep funds in such bank or banks as may be designated by the board.
  • Events Director
    • Responsible for the planning and execution of events.
    • Ensure event is well-coordinated and goes as smoothly as possible.
    • Keep budgets and timelines under control at all times.
    • Work closely with Communications team to promote the event in the right channels.
  • Education and Career Development Committee Chair
    • Focus on reinforcing education of school students to prepare them for higher education.
    • Plan on programs to help alumni members to advance their skills and be competitive in the general workforce.
    • Organize training programs in line with the school’s mission and vision.
  • Chief Sustainability Officer
    • Design concepts and programs to ensure continuity of the association’s existence.
    • Monitor and analyze gaps and challenges in the organization and come up with action plans to ensure effective management of the organization.
    • Develop or execute strategies to ensure successful governance and longevity of the organization.
    • Establish succession plan, training and empowerment of new leaders.
  • Communications and Technology Officer
    • Raise awareness about Alumni Association events and programs, develop communication materials that represent the Alumni Association, build marketing strategy and more.
    • Responsible for all communications to different social media platforms.
    • Maintain online presence, website, social media accounts.
  • Finance Committee Chair
    • Prepare an annual budget for Executive Committee approval.
    • Set long-term financial goals along with funding strategies to achieve them.
    • Review and audit financial transactions of the Association.
    • Safeguard Association's assets.
  • Alumni Engagement Committee Chair
    • Focus on alumni affairs, networking and connections around the globe.
    • Engage the alumni in a close fellowship, cultivate friendships, and promote goodwill.
  • Records Committee Chair
    • Focus on maintaining accurate database records of alumni names, addresses, contact details, etc.
    • Responsible for documenting the history and milestones of the school and alumni.
  • Scholarship Committee Chair
    • Manage the scholarship program.
    • Develop criteria for the conferring of scholarships, vetting of candidates, proposal of recipients.
    • Assist the committee with developing strategies for raising funds for the award of scholarships.
  • Awards Committee Chair
    • Develop criteria for awarding deserving students of Langub Elementary School.
    • Establish annual recognition program to graduating students at Langub Elementary School.
    • Review award nominations and recommend recipients for approval.
    • Coordinate with Finance Chair on funding strategies for the awards.
  • Community Relations Officer
    • Plan and develop community relations to advance the mission and goals of the association.
    • Keep community informed on programs of the Association that will influence the public.
  • Legal Adviser
    • Provide support on legal matters of the Association.
    • Assist in developing the Association's Bylaws.
    • Advise whether all the proceedings of the organization are in compliance with existing laws.
  • Projects Committee Chair
    • Responsible for the implementation of the projects approved by the Executive Committee.
    • Ensure the project delivers the expected outcomes and benefits.
  • Health and Wellness Committee Chair
    • Coordinate activities and wellness programs with the goal of maintaining good and healthy well-being of students, faculty, and alumni.
    • Boost morale within the Association and encourage stress relief.
  • Logistics Committee Chair
    • Responsible for organizing and mobilizing transportation and manpower resource for events and projects of the association.
    • Ensure supplies and facilities are available when needed.
  • Safety Committee Chair
    • Focus on safety awareness and advocacies at the school and community.
    • Provides security during events of the association.
    • Support emergency response during calamities and disasters.
  • 1 School Representative
    • Communicate information received from the Association about events, projects, and initiatives to the school and faculty.
    • Update Association with news and current affairs of the school.
  • 5 Appointed Chapter/Batch Representatives
    • Communicate information received from the Association about events, projects, and initiatives to the Alumni Chapter members.
    • Update Association with news and current affairs of the Alumni Chapter.


Section 5. Nominations and Elections. The Officers and Council Officials are nominated or elected by the membership of the Alumni Steering Committee as set forth in Article IV, Section 1, and shall serve a 2-year term in office. There is no limit to the number of terms an official may serve.

Section 6. Vacancies. A vacancy in any of the offices of the Association because of resignation, disqualification, death or otherwise may be filled by the Executive Committee members for the unexpired portion of the term.

Section 7. Removal from Office.
a.) Unexcused absences from more than 3 consecutive committee meetings, by a member of the Steering Committee, shall result in his or her removal from the committee. Said removal shall be announced and made official through official email and at the next regular committee meeting.

b.) Should the Association officers or Executive Committee determine that a member of the Committee has not fulfilled his or her responsibilities, he or she may be removed by a majority vote of the Executive Committee at a regular or special call meeting.

c.) Such member who has been removed from the committee pursuant to Sections 1 and 2 shall not be eligible for re-nomination or re-election within the 2 years following his or her removal.

ARTICLE V – MEETINGS

Section 1. Schedule.

a.) Alumni Association meetings – There shall be at least one Annual Meeting of the Alumni Association each year on a date determined by the Alumni Council. Special meetings may be called at the discretion of the President or Executive Committee.

b.) Alumni Council meetings– There shall be a minimum of two (2) regular meetings of the Alumni Council each year at the call of the President. The majority of those voting members attending shall constitute a quorum at such meetings. Additional meetings may be called at the discretion of the President or Executive Committee.

c.) Standing Committee meetings– Meetings of all standing committees shall be called at the discretion of the chairperson(s) or upon request of the President of the Alumni Council.

d.) Executive Committee meetings - There shall be a minimum of two (2) regular meetings of the Executive Committee each year. Additional meetings of the Executive Committee may be called at the discretion of the President or upon request of at least two (2) members of the Executive Committee.

Section 2. The objectives of the meeting must be set forth in both the call for and the notice of the meeting.  No business is transacted at a special meeting that does not relate to the purposes for which it was convened.

Section 3. A quorum at any meeting of the Council shall consist of a majority of the membership of the Council. The meeting can be done virtually if needed.

ARTICLE VI – ALUMNI CHAPTERS

Section 1. Purpose – The Alumni Chapters shall advance the mission of the Langub Alumni Association through regional and/or special interest organizations.

Section 2. Organization – The Alumni Chapter shall consist of a group of alumni organized by region or special interest. The Alumni Council shall charter each Alumni Chapter. No Alumni Chapter shall use the name “Langub Alumni Association” without written authorization of the Alumni Council and the Executive Committee.

Section 3. Bylaws - An Alumni Chapter may establish bylaws for its governance. Such bylaws shall be consistent with the Bylaws of the Langub Alumni Association and shall conform to the guidelines set by the Association.

Section 4. Chapter Representatives – Each Chapter shall select one representative to serve on the Alumni Council.

ARTICLE VII – FISCAL AFFAIRS

Section 1. The Fiscal year of the Council shall end on July 31st.

Section 2. The Alumni Association shall assess no dues. Funding are derived through generosity and voluntary contributions.

Section 3. Solicitation of funds shall be subject to the approval of the Alumni Officers.

Section 4. All monetary funds controlled by the Alumni Association shall be used to help promote the intellectual, spiritual, cultural, and financial growth of Langub Alma Mater and its alumni.

Section 5. Each year, the President of the Association shall deliver a report to the members of the council.

Section 6. In the event of dissolution of the Association, the Alumni Association’s assets, if such exist, shall be turned over to the Langub School endowment fund.

ARTICLE VIII – AMMENDMENTS

This Bylaws may be amended by a two-thirds vote of those present at any meeting of the Alumni Council at which a quorum is present provided notice of the amendment is included in the notice of the meeting.

ARTICLE IX – RATIFICATION

These Bylaws shall become effective January 31, 2023 unless objection is recorded with the Secretary of the Alumni Association by at least twenty percent (20%) of the membership of the Alumni Association within the sixty (60) day period following distribution of these Bylaws to the membership.
